Banner Acquisition Corp. announces closing of $150,000,000 IPO
Lehi — Banner Acquisition Corp. (the “Company”) today announced the closing of its initial public offering (“IPO”) of 15,000,000 units at a price of $10.00 per unit. The units are listed on the NASDAQ Capital Market (“NASDAQ”) and trade under the ticker symbol “BNNRU.” Each unit consists of one share of the Company’s Class A common stock and one-half of one redeemable warrant, with each whole warrant entitling the holder thereof to purchase one share of the Company’s Class A common stock at a price of $11.50 per share, subject to adjustment. Once the securities comprising the units begin separate trading, the shares of Class A common stock and public warrants will be listed on NASDAQ under the symbols “BNNR” and “BNNRW,” respectively.
BofA Securities, Inc. is acting as sole book-running manager and underwriter for the IPO. The Company has granted the underwriter a 45-day option to purchase up to an additional 2,250,000 units at the initial public offering price less the underwriting discount.
